These terms govern your use of shobhitsystems.com and any services provided by Shobhit Systems. By engaging our services, you agree to these terms.

1. Services

Shobhit Systems provides cloud infrastructure consulting, CI/CD implementation, Terraform-based infrastructure as code, and related DevOps services on Google Cloud Platform. The exact scope of each engagement is defined in a written Statement of Work (SOW) agreed before work begins.

2. Payment Terms

• Fixed-scope projects: 50% advance before work commences, 50% on delivery
• Monthly retainers: billed at the start of each calendar month, in advance
• Invoices payable within 7 business days
• Late payments attract interest at 1.5% per month after the due date
• Accepted methods: bank wire transfer (SWIFT), Wise, Payoneer, major credit/debit cards
• Pricing in USD; other currencies accepted at the prevailing exchange rate

3. Intellectual Property

Upon full payment, all Terraform code, pipeline configurations, and documentation created specifically for your project are transferred to you. Shobhit Systems retains rights to generic, reusable modules and patterns. You are granted a perpetual, non-exclusive licence to use any Pre-existing IP embedded in your deliverables.

4. Client Responsibilities

You are responsible for providing GCP project access, GitHub organisation access, and timely responses. Delays caused by late client feedback may extend delivery timelines proportionally.

5. Confidentiality

Both parties agree to keep confidential any non-public business information shared during the engagement. This obligation survives termination for 3 years.

6. Warranties

We warrant services will be performed professionally and deliverables will materially conform to the agreed SOW for 14 days after delivery. Non-conforming deliverables will be remediated at no charge within this period.

7. Limitation of Liability

Our aggregate liability for any claim shall not exceed the total fees paid for the specific engagement. Neither party is liable for indirect, incidental, or consequential damages including lost profits or data loss.

8. Termination

Either party may terminate with 14 days' written notice. Work completed to termination date will be invoiced. Advance payments for unstarted work will be refunded per our Refund Policy.

9. Dispute Resolution

The parties shall first attempt to resolve disputes through good-faith negotiation for 30 days. If unresolved, disputes shall be submitted to binding arbitration under internationally recognised arbitration rules. The language of arbitration shall be English.

10. Force Majeure

Neither party is liable for delays caused by circumstances beyond reasonable control, provided prompt written notice is given.
